The following sets forth the terms and conditions of the User Agreement (this “Agreement”) between you (“Member”) and Eban Capital under which Eban offers Members listing on the website portal(s) operated by Eban (the “Site”) at www.membersapp.ioptechnologies.com (“Platform”).

Use of the Platform indicates that each Member accepts the terms and conditions set forth below. By completing the application process and clicking the “I agree” button, each Member is indicating its consent to be bound by this Agreement, the Site’s Terms of Use and Privacy Policy which are incorporated herein by reference (collectively referred to as the “Terms of Use”). The Agreement will not take effect unless and until a Member has activated its Account. Terms not defined in this Agreement shall bear the same meaning as that contained in the Terms of Use.

Eban may amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended and restated Agreement shall be effective immediately upon posting. Posting by Eban of the amended and restated Agreement and a Member’s continued use of the Platform shall be deemed to be acceptance of the amended terms.
